REGULATIONS OF VIETNAM NURSES ASSOCIATION (AMENDMENT)
(Approved in conjunction with Decision No.627/QD/BNV
Dated May 26th, 2008 by the Minister of Interior)
Chapter I
NAME, GUIDELINES, GOALS
Article 1: Name, symbol
1. Name of the association: Vietnam Nurses Association
2. International transaction name: Vietnam Nurses Association. For short: VNA
3. Symbol of the association:
Article 2: Guideline, Goals
Vietnam Nurses Association is a socio – occupational organization, which gathers Vietnamese individuals, organizations operating in nursing specialty and relevant professions with the aim to: develop nursing profession by boosting research, training, updating and improving knowledge and skills for its members. Other goals are to participate in training, popularizing, applying and developing techniques and nursing service for public health protection, and to integrate in regional and international nursing association.
Article 3: Principles, scope of activities and legal status
1. Vietnam Nurses Association is organized on voluntary, self – governing, democratic, equal, open, transparent, self – control principles and in compliance with Constitutions, Law and Association’s Regulations.
2. Vietnam Nurses Association operates in all over the country in the field of nursing and acts as member of Vietnam Medical Association. The Association is under the State management of the Ministry of Health in terms of operation fields and profession.
3. The Association has its own legal status, seal, symbol, property and private account. The association’s headquarter locates at 138A Giang Vo, Ba Dinh, Hanoi.
Chapter II
OBLIGATIONS, RIGHTS OF THE ASSOCIATION
Article 4: Obligations of the Association
1. To gather, unify and assist members to carry researches, study; popularize and update knowledge, promoting creative capacity and preserving professional ethics.
2. To enhance professional skills for members through the following activities by: holding refresher course on special subjects, scientific researches; disseminating experiences, participating in nursing club, going on internal and external study visit. To create favorable conditions for its members in providing nursing services for individuals, households and community.
3. To propose, recommend Party’s units, State and Ministry of Health on guidelines, policies, programs, and plans to develop nursing profession in Vietnam. To carry out consultancy, criticism and social appraisal towards issues related to nursing profession and medical policy as required.
4. To corporate with internal and external individuals, organizations in accordance with regulations by the law, exchange experiences, improve nursing standards, and develop nursing services in order to help Vietnam nursing speciality quickly integrate into the regional and international nursing profession.
5. To protect the honor, rights and legal interest of its members in compliance with the current law.
Article 5: Rights of the Association
1. To represent its member organizations and members in activities related to the guidelines, goals and tasks of Vietnam Nurses Association
2. To carry out scientific researches, and provide services to individuals, and organizations in need as stipulated by the law.
3. To organize training and fostering courses, conferences and workshops in order to popularize knowledge, regime, policy concerning the profession for its members.
4. To corporate with inland and outland individuals, organizations to promote corporation in nursing aspect according to regulations by the law.
5. To protect the implementation of its member’ scientific research, and evaluate scientific research works, projects on nursing as requested.
6. To be in full rights to publish books, documents, magazines of the Association as stipulated by the law.
7. To be entitled to raise Association funds by membership fees and revenues which are sprung from the association’s business and service operations in accordance with regulations by the law.
8. To enjoy legal support from international and domestic individuals, organizations as stipulated by the law.
9. To be entitled to establish representative office and legal organizations under the Association according to regulations by the law.
10. To be entitled to join domestic social organization, regional and international Nurses Association as stipulated by the law.
11. To reward and propose competent levels to reward member individuals, community who show good performance in the profession and have big contribution to the Association development.
12. To handle and punish member individuals, community violating the Association principles.
Chapter III
ASSOCIATION MEMBERS, RIGHTS AND OBLIGATIONS
Article 6. Members
Members of Vietnam Nurses Association include official members and honored members.
1. Official members
a) Organization members:
Nurses Association of provinces, cities under the Center; Central specialized nursing branch and Branches under Vietnam Nurses Association agree with the Principles made by Vietnam Nurses Association and make voluntary application for joining and admittance to be organization members of Vietnam Nurses Association. The recognition of organization members is considered and decided by the Central Standing Committee of the Association.
b) Individual members:
Members of Nurse Member-Units are automatically considered as members of the Vietnam Nurses Association.
In addition, every Vietnamese citizen operating in nursing profession and relevant branches and voluntarily participating in the association’s activities, pay membership fees and agree with the Association principles can apply for admittance through member associations or branches directly under Vietnam Nurses Association.
2. Honored members
Vietnamese citizens, organizations who are not qualified to become official members of Vietnam Nurses Association but contribute to the Association and are approved by the Central Standing Committee of the Association might be recognized as honored members. The honored members have the same rights and obligations to those of official members except for rights of voting and election for the Association Central Committee and voting on the association’s issues.
Article 7: Procedures to join and leave the Association
1. Member is an organization: if the organization desires to join in or leave Vietnamese Nurse Association, it must apply for a membership of or leaving the Association which will be considered and determined by the Central Committee of Vietnamese Nurse Association.
2. Member is an individual: if an individual expects to become a member or leave the Vietnamese Nurse Association, he or she must apply for a membership of or leaving the Association, which will be considered and decided by the Executive Committee of Brach where he or she joins.
3. The Standing Committee of Vietnamese Nurse Association regulates in detail terms and conditions of participating in and leaving the Association.
Article 8: Rights of a member
1. To participate in the Association’s activities, attend profession-improved training courses, scientific forums held or co-held by the Association.
2. To get favorable conditions from the Association to conduct scientific researches and get priorities to announce his or her research results, technical innovation ideas in journals, magazines, publications of the Association.
3. To require the Association to protect his/her legal benefits and rights according to the law for his/her professional activities.
4. To suggest the Association to propose the State agencies about modification, supplementation, completion of policies and guidelines concerning its activities as well as its member’s benefits.
5. Official member is entitled to run for election to, nominate and vote leading bodies of the Association; to attend and vote in the conferences held by the Association. Members of honor have no rights to run for election to and nominate to the Association’s Executive Committee and to vote on its issues.
6. To be given the “Member of Vietnam Nurse Association” card. The member card is used only for participating in activities of the Association.
7. To leave the Association.
8. To be commended and rewarded by the Association or the Association proposes the award for him/her.
Article 9: Obligations of a member
1. To comply with Party’s policies and guidelines, State law; abide by the Association’s charter, resolutions, and decisions; take part in its activities and pay membership fees in full and on time;
2. To propagandize its effects and prestige; actively participate in the membership development.
3. To build the great unity bloc; fight against ideas, actions prejudicial to its reputation, prestige and unity.
4. To cultivate his/her conduct, profession; continuously learn and do research; improve his/her qualifications, professional knowledge and foreign languages.
Chapter IV
ORGANIZATION OF THE ASSOCIATION
Article 10: Organization of the Association
1. Central level: Vietnam Nurses Organization
2. Provincial and municipal level: Provincial and municipal Nurses Association (collectively called as Provincial Nurses Associations)
3. Branches include:
a) Branches directly under Central Vietnam Nurses Association: provinces and cities directly under Center which do not have enough conditions to establish Association in provincial level can set up branches under Central Vietnam Nurses Association; at Central level, they are specialized nurses branches.
b) Branches at grassroots level: are nursing branches of institutes, hospitals, district medical centers, nursing schools under associations at provincial levels.
Article 11: National Representatives Congress of Vietnam Nurses Association
1. The highest leading authority of the Association is the National Representatives Congress of Vietnam Nurse Association (hereafter referred to as Congress). The Congress is summoned for a five year term by the Central Committee of Vietnam Nurses Association. The number of representatives and distribution ratio of representatives is decided by the Central Committee of Vietnam Nurses Association.
In case of emergency, the Central Committee of the Association can call an extraordinary Congress upon recommendation by at least 2/3 (two thirds) of the Central Committee’s commissioners or at least 1/2 (a half) of the member associations of the Association.
2. The congress is responsible for:
a) Discussing and approving the Association’s operation summary report during the past term and deciding directions, tasks of the Association for the new term;
b) Discussing and approving amendment and supplement of the association’s Principles (if any);
c) Approving receipts and payments statements of the Association during the past term and financial plan for the new term.
d) Deciding on joining national, regional and international organizations operating in the same field under regulations by the law (if any).
e) Deciding on numbers of members of the Association Central Committee and electing a new term Central Committee.
3. Voting principles of the Congress:
a) The Congress can vote by showing off hands or ballot. The form of voting is decided by the Congress.
b) The voting to approve Congress’s decision must be agreed by more than 1/2 (half) of the total representatives presenting at the Congress. Particularly, in case of association’s principles amendment, then it must be approved by more than 2/3 of the total representatives presenting at the Congress.
Article 12: The Central Committee of Vietnam Nurses Association
1. The Association Central Committee is elected by the National Representatives Congress. Members of the Association Central Committee include people who are of good virtuous character, prestigious, professionally wholehearted, qualified, capable and experienced in administrative activity.
2. The Association Central Committee is the highest leading authority of the Association between two Congress terms. The Association Central Committee meets once a year. In case of necessity, an extraordinary meeting of the Association Central Committee can be summoned by the Chairman of Association upon recommendation of more than 1/2 (a half) of the total Committee Commissioners.
3. In the period between 2 Congress terms, if there is a lack of four Committee Commissioners or more, then the Committee is entitled to elect supplementary Committee Commissioners. The form of supplementary election is decided by the Standing Committee.
4. Obligations, rights of the Association Central Committee:
a) Elect the Association Standing Committee, General Secretary;
b) Implement Resolutions made by the Congress and Resolutions by the Congress Meeting;
c) Set up action program of the Committee annually, and in the whole term according to the Congress Resolutions and performing that action plan;
d) Made annual summary report, set up targets, directions, tasks and primary solutions for the next year;
e) Prepare Congress documents, decide to summon termly Congress and Extraordinary Congress;
g) The leaders perform Association Principles;
h) Manage operations of Association office, specialized departments and legal entities under the Association;
i) Enforce operation regulations by Association Central Committee;
k) Pursuant to the request of Executive Board on deciding to invite members of Advisory Board and promulgate operation by- laws of Advisory Board.
l) Introduce members to attend foreign and domestic training courses (if any)
m) Develop the relationship with foreign and domestic organizations and make contribution to social development.
n) Consider the commendation and reward or discipline towards collectives and members.
Article 13: Standing Committee of Vietnam Nurses Association
1. Standing Committee is a standing organization of Association’s Executive Board. The members of Standing Committee include: Chairman, Vice Chairmen (one of whom is the standing chairman), General Secretary and some commissioners of association’s Central Committee, the number of commissioners does not exceed one – third of the Central Committee’s total Commissioners of Vietnam Nurses Association in each term.
2. Task of Standing Committee:
a) Acting on behalf of Central Committee to give instructions of implementing the resolutions of congress and decision of Central Committee between two meeting sessions;
b) Ratify the functions, tasks, organization and personnel of association’s office and legal entity;
c) Decide to recognize Executive Board of members in the members’ General meeting;
d) Make operation plan and report of the Association according to regulation of Central Committee, Vietnam Medical Association and state managing agency about Association in accordance with legal regulations;
e) Promulgate by- laws and instruct the operation of association’s central office, professional departments and legal entities;
g) Approve the appointment decision on the association’ positions of chief of the secretariat, head of professional board and leader of legal entity organizations;
h) Approve the programs and cooperation project with foreign and domestic organizations and individuals to develop the Association and occupation;
i) Introduce the representatives of Association to participate in councils or professional boards suggested by authority agencies or organizations;
k) Standing Committee hold a meeting every six months. When necessary, the abnormal meeting can be held due to Chairman’s decision or if one – second of Standing Committee’s commissioners suggests;
l) When necessary, the association’s Standing Committee can consider and decide to appoint legal entities of Association according to regulation of association’s Charter and law.
The legal entities of Association are supported for operation and must abide by association’s Charters and state law.
Article 14: Duties of the Association’s Chairman
The Chairman of Association, who is the legal representative of Association with law, has the following duties:
1. Preside over the meetings of Executive Board and Standing Committee; manage the implementation of resolutions of General meeting, Executive Board’s and Standing Committee’s meetings.
2. Decide to establish professional departments, corporate of the association, appoint and displace the leaders of association’s agencies and departments;
3. Sign to promulgate the management and operation by-laws of association;
4. Sign to enforce the resolutions approved by General meeting, Executive Board or Standing Committee.
Article 15: Duties of the Association’s Vice Chairman
1. The Vice Chairman of Association, who assists Chairman, is assigned to take responsibility and manage some professional operations of association.
2. Vice Chairman of Standing Committee assists Chairman to manage the operations of Association according to the assignment of Chairman and is authorized to manage the work when the Chairman is absent.
Article 16: Duties of Association’s General Secretary
The General Secretary, who assists the Chairman of association, is responsible for the following duties:
1. Establish the operation by-laws of Central Committee’s Executive Board, offices and professional departments of association;
2. Make report and build the operation direction of Association in the meeting sessions of Central Executive Board; Standing Committee and General meeting in which term is up;
3. Report the operation of Association periodically and annually to State authority agencies according to the law;
4. Work as a secretary in the meeting sessions of Association’s Central Executive Board and Standing Committee;
Article 17: Association’s Inspection Committee
1. The General meeting will elect Inspection Committee including Chief of Inspection Committee, Vice Chief of Inspection Committee and some commissioners. Chief of Inspection Committee is the commissioner of Central Executive Board.
2. Inspection Board has the following rights and tasks:
a) Inspect and supervise the Association’s organizations and members in abiding by the charters, resolutions, policies and programs of association;
b) Inspect the Association’s financial activities according to regulation of Association Charter and related law;
c) Inspect the operation of Association’s offices and professional departments;
d) Consider and make a petition to Standing Committee of Vietnam Nurses Association to deal with complaints and accusation letter (if any) in the internal Association;
e) Suggest and make a petition to association’s steering committee to deal with the violations according to regulation of Association charter and law;
f) When executing the inspection and supervision, the association’s Inspection Committee can order the association’s organizations and departments to provide all the information, documents and proofs relating to inspected and supervised issues.
Article 18: Office, professional departments and legal entities of Association
1. Offices, professional departments and legal entities of the Association is suggested by Standing Committee and decided to establish by Chairman of Association; Standing Committee suggests and Chairman of Association will decide to appoint the following positions: Chief of secretariat, Head of professional department and leader of legal entities of association;
2. The office and professional departments of Association which are a department assisting Standing Committee, are instructed directly by Chairman of Association or a Vice Chairman according to the assignment of Chairman.
Chapter V
ASSETS AND FINANCE OF ASSOCIATION
Article 19: Properties of Association
1. Association’s properties include: house, facility and other assets (if any)
2. The office of Association is responsible for managing, preserving and using the properties in accordance with purpose and effectively.
3. If the properties are broken down and can not be repaired for reuse, the office of Association will make a liquidating procedure to submit to Chairman for approval.
Article 20: Finance of Association
1. Revenue source:
a) Member fee of members collected once per year (the Central Executive Board of Vietnam Nurses Association will decide the specific level);
b) Revenue from operations of associations like: service, consultation, publication, training and other legal revenues according to the regulation of law;
c) The legal financing of domestic and foreign organization, individuals according to the law;
d) Other revenues ( if any)
2. Other Association’s outgoings:
a, Pay for regular activities of the association’s office.
b, Pay salaries, allowances, expenses for business trips; pay expenses of the social insurance and health insurance for cadres in charge or employees under contracts according to the current regulations.
c, Pay for giving information, propagandizing, publishing, organizing meetings and conferences.
d, Pay for maintenance, repair, purchase of equipments used for the association’s activities.
e, Pay for organizing activities presided or partially presided by the association;
g, Support for activities of membership associations (if its budget can support)
h, Pay for other activities (if any)
Article 21: Manage, use properties, finance of the Association
1. The properties and finance of the Association are used according to the regulations of the Executive Board of Vietnam Nurses Association, and under regulations of the law.
2. The annually financial report of the Association need to be audited and presented in the Executive Board’s meetings, in the association’s regular meetings and announced in public according to the financial regulation of the association.
3. Upon the Association’s winding-up, the Standing Committee and Supervision Committee of the Association should carry out inventorying properties, examining the fund; and report to Association’s Central Executive Board which then brings out decision on handling with properties, cash in hand and carry out procedures to wind up the Association according to the regulations of the law.
Chapter VI
REWARD AND PUNISHMENT
Article 22: Reward
1. Organizations, individuals who have achievements in building and developing the Association will be rewarded by Vietnam Nurses Association or proposed to be rewarded by the competence authorities.
2. Forms of reward are stipulated by Central Executive Board.
Article 23: Punishment
1. Organizations, individuals who do harm the prestige, reputation of the Association; break the regulations, decrees of the Association will be punished, warned and dismissed from the Association depending on the levels. In case of harming the assets and finance of association, they must compensate according to regulation of the law.
2. If the member breaks the law or is prosecuted for crime, he will be excluded from the member list.
3. The organization and member belong to a certain Association, the Association’s Executive Board of this Association will decide the form of discipline and report to upper Executive Board for final ratification. Upper Executive Board has the direct right to ratify, change or eliminate that discipline form and requests for reconsidering.
4. The case of excluding from the Association must be reported, considered and decided by upper Executive Board and reported to Central Executive Board for final ratification.
Chapter VIII
AMENDMENT, SUPPLEMENTATION OF THE CHARTER AND WINDING-UP THE ASSOCIATION
Article 24: Amend and supplement Association Charter.
Nationwide Delegate General Meeting of Vietnam Nurses Association is the only agency, which has the right to amend and supplement Association Charter. The amendments of Association Charter, which must be agreed by two – thirds of delegates presenting at the General meeting and ratified by a state authority agency, will have the implementation validity.
Article 25: Winding-up of the Association
The Association can wind up by itself or be wound up. The content, order and procedures of winding up are stipulated by law.
Chapter VIII
IMPLEMENTATION PROVISIONS
Article 26: Implementation validity
1. The Association Charter of Vietnam Nurses Association (amended and supplemented) consisting of 8 Chapters, 26 Articles was approved by the fifth Nationwide Delegate General Meeting of Vietnam Nurses Association held on October 25th, 2007 in Hanoi and has the implementation validity according to ratification decision of Minister of Interiors.
2. Pursuant to the legal regulations on the Association and the Association Charter, Central Executive Board of Vietnamese Nurses Association takes responsibility for instructing and organizing the implementation of the present Charter.
